ROC Compliances for Producer Companies

1. Form AOC-4: Filing of Financial Statements

2. Form MGT-7: Filing of Annual Return
Every Producer Company must file its Annual Return using Form MGT-7, which contains updated details of directors and shareholders.
3. Form ADT-1: Appointment of Auditor
The Board of Directors must appoint an auditor within 30 days of incorporation and file Form ADT-1 to notify the ROC. The auditor’s appointment is valid for five years.
4. Form MBP-1: Disclosure of Director’s Interest
Every director must disclose their interest in any other company, firm, or Association of Individuals (AOI), including shareholding interest, at the first board meeting by filing Form MBP-1.
5. DIR-3 KYC: Director’s KYC Compliance
All directors must complete KYC verification every year by submitting Form DIR-3 KYC. If already submitted, they need to verify via OTP on email and mobile annually.
6. Form DIR-8: Declaration of Non-Disqualification
Each director must file Form DIR-8 annually, confirming they are not disqualified from holding office.
7. Form DPT-3: Return of Deposits
If the Producer Company has received any loans or deposits, it must file Form DPT-3 before the deadline with the Registrar of Companies (ROC).
